Terms of Service

Last updated: 23 October 2026

These Terms of Service (the "Terms") are a legally binding agreement between you and Trade Llama LTD. They govern your use of the Trade Llama website (the "Website") and the trading, wallet and Earn services we provide through it (the "Services"). Please read them together with our Privacy Policy and Risk Disclosure before you open an account.

Trading crypto-assets, CFDs and futures involves a high level of risk. CFDs and futures are complex instruments and, because of leverage, you can lose money rapidly. Only trade with money you can afford to lose.

1. Who we are

The Services are provided by Trade Llama LTD ("Trade Llama", "we", "us" or "our").

  • Company: Trade Llama LTD
  • Company registration: Entity Number 395021
  • Regulator: Cayman Islands Monetary Authority (CIMA)
  • Regulatory framework: Virtual Asset Service Provider (VASP) Registration #1849203
  • Address: 521 Fifth Avenue, 17th Floor, Office 17B, New York, NY 10175, United States
  • Email: support@tradellama.com

"You" means the individual who registers for and uses a Trade Llama account.

2. Acceptance of these Terms and changes

2.1 Accepting these Terms

By creating an account or using any part of the Services, you accept these Terms. If you do not accept them, do not register or use the Services.

These Terms form a single agreement with our Privacy Policy, our Risk Disclosure, and the product information, contract specifications, fee information and offer conditions we show on the Website for a particular product, feature or offer ("Product Terms"). If Product Terms conflict with these Terms, the Product Terms apply to that product, feature or offer.

2.2 Changes to these Terms

We may change these Terms, for example to reflect changes to the Services or the law, and will publish the updated Terms with a new "Last updated" date. Where a change is material and not in your favour, we will give you reasonable advance notice by email or through your account, unless we must make it sooner for legal, regulatory or security reasons. If you do not agree, you may close your account before the change takes effect (see section 15); if you keep using the Services, you accept the updated Terms. A change does not affect orders already executed or rights that arose before it took effect.

3. Eligibility

To open an account and use the Services, you must:

  1. be at least 18 years old and have full legal capacity to enter into a binding contract;
  2. be an individual using the account in your own name and for your own benefit;
  3. not be resident or located in a Restricted Jurisdiction;
  4. not be a Sanctioned Person; and
  5. be permitted by the laws that apply to you to use the Services you choose.

You must continue to meet these requirements while you hold an account, and tell us promptly if you no longer do.

"Restricted Jurisdiction" means any country or territory subject to comprehensive sanctions under laws that apply to us, including sanctions imposed by the United Nations, the Cayman Islands, the United Kingdom, the European Union or the United States, and [Restricted Jurisdictions — to be confirmed]. We may update this list when the law or our regulatory obligations require it.

"Sanctioned Person" means a person who is named on, or owned or controlled by a person named on, a sanctions list maintained under those laws, or who is otherwise a target of those sanctions.

You must not use a virtual private network, proxy or other method to hide your location. We may block access from IP addresses or regions to comply with the law and to protect the Services.

4. Account registration and security

4.1 Registering

To register, you provide an email address or phone number, a password, and your first and last name; you may also enter a referral code. Your information must be accurate, complete and current, and your name must match your identity documents. Update your details promptly if they change.

4.2 One account per person

You may hold only one account, and you must not open an account for anyone else or let anyone else use, buy or share yours. We may restrict or close any additional accounts.

4.3 Keeping your account secure

  • Use a strong password that you do not use elsewhere, and never share it or any verification code.
  • Keep the email account and phone number linked to your account secure, and use any additional security features we make available.
  • Sign out of shared or public devices: your sign-in session is kept in your browser, so anyone with access to that browser may be able to use your account until you sign out.
  • Beware of phishing. We will never ask for your password or verification codes.

4.4 Unauthorised access

If you suspect that someone else knows your credentials or has accessed your account, change your password immediately and tell us at support@tradellama.com. We may suspend your account to protect it and ask you to verify your identity before restoring access.

You are responsible for activity carried out with your credentials, except to the extent a loss results from our breach of these Terms, negligence or fraud, or occurs after you have told us about the unauthorised access and we have had a reasonable opportunity to act.

5. Identity verification and anti-money-laundering

5.1 Verifying your identity (KYC)

Anti-money-laundering laws require us to verify our clients' identity. You agree to provide the identity documents, proof of address and other information we reasonably request, and to keep it up to date. We review your documents, with the help of identity-verification and compliance providers where described in our Privacy Policy, and show your verification status in your profile. Until verification is complete, we may limit or block deposits, withdrawals, trading or other Services. We may ask you to verify again at any time.

5.2 Source of funds

We may ask you to explain and evidence the source of your funds and wealth, the purpose of your account and your expected activity. You must answer promptly and truthfully.

5.3 Our right to refuse or suspend

Acting reasonably and in line with our legal obligations, we may refuse to open an account; refuse, delay or hold a deposit, withdrawal, transfer or order; suspend or restrict your account or any Service; and freeze assets where the law requires. We will tell you why where we are allowed to. To the extent permitted by law, we are not responsible for losses caused by delays or refusals resulting from these checks.

5.4 Monitoring and reporting

We screen clients and transactions against sanctions lists and monitor account activity. We may be required to report suspicious activity to the competent authorities and to respond to lawful requests from regulators, courts and law enforcement, including in the Cayman Islands. The law may prohibit us from telling you about a report or request. Giving us false or misleading information is a serious breach of these Terms and may lead to closure of your account and a report to the authorities.

6. Our services

6.1 What we offer

  • Spot trading: buying and selling crypto-assets in trading pairs.
  • CFDs: contracts for difference on forex, indices, commodities and stocks. A CFD gives you exposure to the price of an underlying asset; you do not own the asset or acquire any rights in it.
  • Futures: USDT-margined perpetual contracts, and coin-margined perpetual and quarterly contracts, traded with leverage.
  • Convert: exchanging one crypto-asset for another at a quoted rate.
  • Buy crypto by card: buying crypto-assets with a Visa or Mastercard card, Apple Pay or Google Pay.
  • Earn: Simple Earn flexible and fixed-term products, and Cash Plus.
  • Wallet: deposits and withdrawals by bank wire, card and crypto-asset transfer, and transfers between the accounts within your profile.

6.2 Availability and changes

Not every Service, product, asset or payment method is available in every country or to every client, and some features may be temporarily unavailable, for example during maintenance. We may add, change, suspend or withdraw any Service, product, feature, asset or payment method for legal, regulatory, security, liquidity or commercial reasons. If we withdraw a product in which you hold a position or balance, we will give you reasonable notice where practicable and explain what will happen to it, which may include closing positions at the prevailing market price.

6.3 Suitability questionnaire

We may ask you to complete a suitability questionnaire about your knowledge, experience and circumstances, and use your answers to decide whether to give you access to products such as CFDs and futures, to set limits or to show you warnings. You must answer accurately. Our assessment is not advice and does not mean a product is suitable for you.

7. Orders and execution

7.1 Placing orders

Before you confirm an order, check its details, including the instrument, direction, quantity, order type, price and, where relevant, leverage. A confirmed order is a binding instruction on which we may rely. An order is placed only when we accept it.

7.2 Order types

The order types available for each product are shown on the Website. A market order is executed at the best price available at the time of execution. A limit order is executed only at your limit price or better and may be filled in part or not at all. A conditional order (such as a stop-loss or take-profit order), where offered, becomes an order to execute when its trigger price is reached; it does not guarantee execution at the trigger price.

7.3 Quotes and slippage

Prices on the Website are indicative until execution, except where we show you a firm quote with a validity period, for example in Convert or when you buy crypto by card; a firm quote applies only if you confirm within the time shown. Otherwise, the execution price may differ from the price you saw or requested (slippage), in your favour or against you, particularly in volatile or illiquid markets and for large orders.

7.4 Market data may differ from execution

Charts on our trading pages are provided by TradingView, and some public market prices are loaded by your browser directly from Binance's public market-data service. This and other market data on the Website is for information only; it may be delayed or incomplete and may differ from the prices at which your orders are executed. Your order is executed at the price available when we execute it, not at the price shown in a chart or ticker.

7.5 Cancellations and rejected orders

You may cancel or amend an open order to the extent it has not been executed. A cancellation or amendment takes effect only when we confirm it; any part executed before then remains binding.

We may reject or cancel an order if you lack sufficient balance or margin, the order exceeds a limit, the market is closed, suspended or disrupted, we reasonably suspect a breach of these Terms, market abuse or fraud, or the law requires it.

7.6 Erroneous trades

An "erroneous trade" is a trade executed at a price clearly out of line with the fair market price at the time because of a technical malfunction, an error in a price source, an obvious pricing error or a similar manifest error. We may, acting fairly and reasonably, cancel an erroneous trade or adjust it to the fair market price at the time, and reverse or adjust the resulting balances, positions, fees and profits. We will tell you promptly if we do. If you notice an obvious error, you must tell us and must not take advantage of it, and you must repay on request any funds credited to you as a result.

7.7 Market hours

CFDs on forex, indices, commodities and stocks can be traded only during the trading hours shown for each instrument. Prices may gap between sessions, and pending orders may then be executed at the opening price, which may be significantly different from your order price.

7.8 Records

Check your order history and balances regularly and tell us promptly about anything you believe is wrong. Our records are evidence of your orders and transactions unless shown to be incorrect.

8. Leverage, margin and liquidation

8.1 Leverage and margin

CFDs and futures are traded on margin: you deposit only a fraction of a position's full value. Leverage magnifies both profits and losses, and a small price movement against you can wipe out all the margin committed to a position.

Margin requirements, maximum leverage and position limits are shown for each instrument. We may change them at any time, including for open positions, where reasonably necessary because of market conditions or for legal or risk-management reasons, with notice where reasonably practicable. You are responsible for monitoring your positions and keeping enough margin at all times; we may send margin alerts but are not obliged to.

8.2 Liquidation

If your margin falls to or below the maintenance margin, or another liquidation level shown for the product, we may close some or all of your positions automatically and without further notice, at the price available in the market at the time. In fast-moving markets this may be significantly worse than the liquidation price shown. Where more than one margin mode is offered, the mode you select determines whether a liquidation affects only the margin allocated to a position or your wider balance in the relevant account. Any liquidation fee shown in our fee information applies. You may lose all the margin you have committed.

8.3 Negative balances

If your losses exceed your margin, you must pay the resulting deficit on request, unless applicable law or the Product Terms provide otherwise. To the extent permitted by law, we may use your other balances with us to cover it.

8.4 Funding and settlement

Perpetual futures may involve periodic funding payments between long and short positions, calculated as set out in the contract specification. CFD positions held overnight may incur overnight funding charges or receive credits, as shown for the instrument. Quarterly futures settle on their expiry date at the settlement price described in the contract specification.

9. Fees

Depending on the Services you use, fees may include trading fees, spreads, funding payments, overnight funding, fees for buying crypto by card, deposit and withdrawal fees, blockchain network fees and liquidation fees.

Before you confirm an order or transaction, we show you the fees that apply to it or how they are calculated. By confirming, you agree to pay them. Our current fee information is published on the Website. Some charges, such as funding rates, overnight funding and network fees, vary with market conditions; for these we show how they are calculated and, where possible, the current rate.

We may change our fees. We will publish updated fee information and, where a change increases what you pay, give you reasonable advance notice, unless the change results from a third-party charge or market condition we cannot control. A change does not apply to orders already executed. We may deduct fees and other amounts you owe us from your balances.

Your bank, card issuer or payment provider may charge its own fees, which are outside our control. You are responsible for any taxes that apply to your use of the Services. We do not give tax advice, and we may be required by law to report information to tax authorities.

10. Earn products

Earn products include Simple Earn (flexible and fixed-term) and Cash Plus. Before you subscribe, we show you the Product Terms, including eligible assets, any term, minimum or maximum amounts, how rewards are calculated and paid, and how you can redeem.

  • Variable rates: rates are variable and may change during your subscription, unless the Product Terms for a specific product say otherwise. Displayed rates are estimates, not promises, and past rates do not indicate future rates.
  • Flexible and fixed terms: flexible products can generally be redeemed at any time, subject to the processing times shown. Fixed-term products lock your assets until the end of the term; early redemption may not be available or may mean losing accrued rewards, as stated in the Product Terms.
  • Not deposits: Earn products are not bank deposits or savings accounts and are not covered by any deposit-protection or insurance scheme. The value of the assets can fall, and you are exposed to the risk that Trade Llama, or a third party involved in the product, fails or suffers an operational problem. See our Risk Disclosure.

We may limit or stop subscriptions or close a product. If we close a product you hold, we will give you reasonable notice where practicable and return your assets with any rewards due under the Product Terms. We may delay a redemption where necessary for security or compliance reasons or because of an event described in section 19.

11. Deposits, withdrawals and transfers

11.1 Methods and payments in your own name

You can deposit and withdraw in the Wallet by bank wire, card or crypto-asset transfer, where these methods are available to you. Bank wire and card deposits must come from an account or card in your own name, and fiat withdrawals are made only to an account in your own name. We may return third-party payments to their source.

11.2 Wrong address or network

For a crypto-asset deposit, use the address and network shown in your Wallet for that asset, include any required memo or tag, and send only supported assets. For a withdrawal, you are responsible for entering the correct address and network and for making sure the receiving wallet supports them.

Crypto-asset transactions are irreversible. Assets sent to the wrong address, on the wrong network, without a required memo or tag, or of an unsupported type may be lost permanently, and once a withdrawal has been sent to the blockchain we cannot reverse it. We are not obliged to attempt recovery; if we do, it is at our discretion, may involve a fee and may not succeed.

11.3 Processing

Crypto-asset deposits are credited after the network confirmations we require. We may ask you to confirm a withdrawal with a verification code and may review it for security or compliance reasons. Processing times depend on networks, banks, payment providers and our checks; times shown are estimates, not guarantees.

11.4 Limits

We may set and change minimum and maximum amounts and daily or other limits for deposits, withdrawals and card purchases, depending on your verification status, the method used, our risk assessment and legal requirements. We show the limits that apply in the Wallet or tell you when they apply.

11.5 Transfers between your accounts

You can transfer funds between the accounts within your profile, as shown in the Wallet. We may restrict a transfer where the funds are needed as margin for open positions or are committed to an Earn product.

11.6 Card payments, chargebacks and mistaken credits

If you have a problem with a card payment, please contact us first. If you reverse a card payment for a transaction you authorised and received the benefit of, we may reverse the corresponding credit, restrict your account and recover the amount and our reasonable costs. If funds or assets are credited to your account by mistake, we may reverse the credit, and you must return anything already withdrawn or used.

12. Bonuses and promotions

We may offer bonuses and promotions, such as the welcome bonus shown on the sign-up page. Each is available only on the conditions stated with the offer, including eligibility, how it is earned and used, whether it can be withdrawn, and when it expires. We may end or change a promotion for the future; this does not remove a bonus already credited, unless the offer conditions allow it or you have abused it.

If we reasonably believe you have abused a bonus, promotion or referral code, for example through multiple accounts, false information, collusion, offsetting trades between accounts, exploiting an error or automated means, we may cancel the bonus, reverse gains derived from it, exclude you from future promotions and restrict or close your account.

13. Prohibited use

You must not use or attempt to use the Services for:

  • market manipulation, such as spoofing, layering, wash trading, pump-and-dump schemes or front-running;
  • fraud, including using stolen cards or identities, or impersonating anyone;
  • money laundering, terrorist financing or sanctions evasion, or dealing in the proceeds of crime;
  • bots, scripts, scrapers or other automated means to access the Website, place orders or collect data, without our prior written permission;
  • multiple accounts, or using another person's account;
  • exploiting errors, bugs, price delays or other system faults;
  • interfering with the Services, including malware, unauthorised access to our systems or other accounts, overloading the Website or reverse-engineering it; or
  • any other unlawful activity.

If we reasonably suspect prohibited use, we may cancel or reverse the orders and trades concerned, withhold profits derived from them, suspend or close your account, recover our losses and report the matter to the authorities. Please report any security vulnerability to support@tradellama.com rather than exploiting or disclosing it.

14. Intellectual property

The Website and its content, including the Trade Llama name and logo, text, graphics, designs and software, belong to us or our licensors. We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Website to access the Services under these Terms. You must not copy, modify, distribute, sell, frame or create works based on the Website, or use our name or logo, without our prior written permission. Third-party content and trademarks, such as TradingView charts and payment-method names, belong to their owners.

15. Suspension and termination

15.1 By you

You may close your account at any time by contacting support@tradellama.com. Before closure, you should close open positions, cancel open orders, redeem Earn subscriptions (a fixed-term subscription may need to run to the end of its term) and withdraw your balances. We may need to complete outstanding compliance checks first.

15.2 By us

We may close your account for any reason on reasonable advance notice. We may suspend, restrict or close it immediately, or on shorter notice, if:

  • you seriously or repeatedly breach these Terms;
  • the law, a regulator or a court requires it;
  • we reasonably suspect fraud, money laundering, sanctions evasion, market abuse or other unlawful activity;
  • you do not complete verification or provide information we reasonably request, or no longer meet the requirements in section 3;
  • we reasonably believe your account is compromised; or
  • we stop providing the Services, or a particular Service, in your country.

We may also suspend access, in whole or in part, where reasonably necessary for maintenance, security or an event described in section 19. Where the law allows and it is practicable, we will tell you why, and we will lift a suspension when the reason no longer applies.

15.3 What happens to your funds

When your account is closed:

  1. we cancel your open orders;
  2. we may close any remaining open positions at the prevailing market price, after notice where practicable;
  3. Earn subscriptions are redeemed, or end at maturity, under their Product Terms;
  4. we deduct fees and other amounts you owe us; and
  5. after any required checks, we return your remaining balance to a bank account in your name or a crypto-asset address you control, in the form in which it is held where reasonably possible.

If the law, a regulator or a court requires us to hold, freeze or surrender assets, we will do so. If we cannot contact you or return your assets, we will deal with them as the law requires. Provisions intended to continue, such as those on amounts owed, liability and governing law, survive closure, and we keep records as explained in our Privacy Policy.

16. No investment advice

Our service is execution-only. We do not give investment, financial, legal or tax advice, make personal recommendations or manage your assets. Market data, charts, articles, rates and questionnaire results on the Website are general information, not a recommendation to buy, sell or hold any asset. You are solely responsible for your decisions and should seek independent advice if you are unsure.

17. Risk acknowledgement

You must read our Risk Disclosure before using the Services. By using them, you confirm that you understand and accept the risks it describes, including that crypto-asset prices are highly volatile; that CFDs are complex instruments, you can lose money rapidly due to leverage, and most retail clients who trade CFDs lose money; that leveraged positions can be liquidated; that Earn products are not bank deposits and are not insured; and that past performance is not a reliable indicator of future results. Only risk money you can afford to lose.

18. Limitation of liability and indemnity

18.1 Our responsibility

We will provide the Services with reasonable skill and care, and we are responsible for losses that are a direct and reasonably foreseeable result of our breach of these Terms, negligence, fraud or wilful misconduct. We do not promise that the Website will always be available or error-free.

18.2 What we are not responsible for

To the extent permitted by law, we are not responsible for:

  • market movements or the results of your own trading and investment decisions;
  • losses caused by your failure to keep your credentials secure or to follow these Terms, including crypto-assets sent to a wrong address or network;
  • acts or omissions of third parties outside our reasonable control, such as banks, payment providers, blockchain networks and market-data providers;
  • a suspension, restriction, refusal or closure carried out in accordance with these Terms or the law;
  • an event described in section 19; or
  • indirect or consequential losses, or loss of profit, opportunity or goodwill, that were not a reasonably foreseeable result of our breach.

18.3 Liability we do not exclude

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law, including mandatory consumer-protection rules.

18.4 Your indemnity

To the extent permitted by law, you will compensate us for losses, claims and reasonable costs (including legal costs) we incur because of your breach of these Terms, your breach of any law or third-party rights, or your fraudulent or unlawful use of the Services, except to the extent caused by our own breach, negligence or misconduct.

19. Force majeure

We are not responsible for failure or delay caused by events beyond our reasonable control, such as natural disasters, epidemics, war, terrorism, civil unrest, acts of government, changes in law, sanctions, failures of blockchain networks, liquidity providers, banks, payment systems, power or telecommunications, and cyber attacks that occur despite our reasonable security measures. We will take reasonable steps to limit the effects on you and resume normal service as soon as we reasonably can, and may meanwhile take reasonable protective measures, such as suspending Services or changing margin requirements.

20. Complaints

If you are unhappy with the Services, email support@tradellama.com with "Complaint" in the subject line. Include the email address or phone number registered to your account, what happened (with dates and any order or transaction identifiers), what you would like us to do, and any supporting documents.

We will acknowledge your complaint promptly, investigate it fairly and send you a written final response within a reasonable time. If we need longer, we will tell you why and when to expect our response.

If you are not satisfied with our final response, or we have not responded within a reasonable time, you may be able to refer your complaint to the Cayman Islands Monetary Authority, or to a regulator or dispute-resolution body in your country of residence, where such a route is available to you. This does not affect your right to take legal action.

21. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or the Services (including non-contractual disputes or claims), are governed by the laws of the Cayman Islands. The courts of the Cayman Islands have exclusive jurisdiction over any such dispute or claim.

If you use the Services as a consumer, you keep the protection of the mandatory consumer-protection rules of your country of residence where the law says they apply, and you may bring proceedings in the courts of that country where that law gives you the right to do so.

22. Notices

You agree that we may communicate with you electronically. We send notices to the email address or phone number registered to your account, through your account, or by publishing them on the Website. Keep your contact details up to date; a notice sent to the latest details you gave us is treated as properly given. You can send notices to us at support@tradellama.com, and formal legal notices may also be sent in writing to our address in section 1.

23. Entire agreement and general provisions

  • Entire agreement: these Terms, the Privacy Policy, the Risk Disclosure and the Product Terms are the entire agreement between you and us about the Services and replace any earlier agreement on the same subject.
  • Severability: if any provision is found invalid or unenforceable, it applies to the greatest extent permitted, or is removed if necessary, and the rest of these Terms continue in force.
  • No waiver: if we delay or do not enforce a right, we may still enforce it later.
  • Assignment: you may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer ours to another company, for example on a sale of our business, provided this does not reduce your rights.
  • Third-party rights: no one other than you and us has any right to enforce these Terms.
  • Language: these Terms are written in English. Any translation is provided for convenience, and if it differs from the English version, the English version prevails.
